Work Product

Any work product, deliverables, or custom solutions created specifically for you under a separate service agreement will be governed by the terms of that agreement. Unless otherwise specified, you will own the rights to custom work product created for your specific project.

Service Fees

Payment terms for our services are as follows:

• Fees are as specified in individual service agreements or project proposals
• Payment is typically due within 30 days of invoice date unless otherwise specified
• Late payments may incur additional charges as specified in the service agreement
• All fees are exclusive of applicable taxes, which will be added to your invoice

Refunds and Cancellations

Refund and cancellation policies are governed by individual service agreements. Generally, custom development work is non-refundable once development has commenced, unless otherwise specified in the service agreement.

Our total liability for any claims arising from these Terms or your use of our Services shall not exceed the amount you paid us for the specific service giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Meraken, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our Services or violation of these Terms.

Termination by You

You may stop using our Services at any time. If you have an active service agreement, termination will be governed by the terms of that agreement.

Termination by Us

We may suspend or terminate your access to our Services immediately, without notice, if:

• You violate these Terms or any applicable law
• You engage in fraudulent or harmful activities
• We are required to do so by law or court order
• We determine that termination is necessary to protect our rights or the rights of others

Effect of Termination

Upon termination, your right to use our Services will cease immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect, including intellectual property rights, disclaimers, and limitation of liability.

Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Noida, Uttar Pradesh, India.

Dispute Resolution

Before pursuing any legal action, we encourage you to contact us to resolve any disputes informally. If informal resolution is not possible, disputes will be resolved through:

• Good faith negotiations between the parties
• Mediation, if both parties agree
• Binding arbitration, if required by applicable law
